ValyDoc – Document Expiration Management Platform

1. Acceptance of Terms

By accessing or using ValyDoc (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

ValyDoc is operated by ValyDoc (“Company,” “we,” “us,” or “our”). If you are using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.

2. Description of Service

ValyDoc is a cloud-based document tracking and reminder system designed for both companies and individual users. The Service allows users to:

• Register employees or manage personal document records
• Upload business-related documents (e.g., badges, certifications, permits)
• Track issue and expiration dates
• Receive automated reminder notifications
• Manage compliance-related documentation

ValyDoc does not issue documents, does not verify document authenticity, and does not guarantee compliance with any law, regulation, or policy.

3. No Legal/Compliance Advice

The Service provides tracking and reminder tools only and does not constitute legal, regulatory, or compliance advice. You are solely responsible for determining which documents are required, ensuring accuracy of uploaded information (including expiration dates), and maintaining compliance with all applicable laws and regulations.

4. Account Registration & Security

• Companies must register an account to use ValyDoc.
• Account information must be accurate, complete, and kept up to date.
• You are responsible for maintaining the confidentiality of login credentials.
• You are responsible for all activities that occur under your account.

5. Employee Data Responsibility

Companies are solely responsible for:

• Uploading lawful and authorized documents
• Ensuring they have permission to store employee documents and personal information
• Complying with applicable data protection and privacy laws
• Ensuring personal documents uploaded to individual accounts are accurate and lawfully maintained

You retain ownership of your content. ValyDoc acts as a service provider/data processor and does not assume ownership of uploaded documents.

6. Subscription, Payments & Billing

• ValyDoc operates on a subscription basis.
• Payments are processed securely via Stripe. We do not store your full card details.
• Subscriptions renew automatically unless canceled before the renewal date.
• Failure to pay may result in account restriction, suspension, or loss of access.
• Refunds are not provided for partially used billing periods unless required by law or approved at our discretion.

If you believe a charge is incorrect, please contact us before initiating a chargeback so we can help resolve the issue.

7. Email Notifications

ValyDoc sends automated reminders based on document expiration dates and your configured settings.

We do not guarantee email delivery due to external factors outside our control (e.g., spam filters, email provider restrictions, temporary outages, incorrect email addresses).

8. Acceptable Use

You agree NOT to:

• Upload illegal, fraudulent, or unauthorized documents
• Use the Service for unlawful activity
• Attempt to hack, disrupt, probe, or reverse engineer the Service
• Share account access with unauthorized users

Violation may result in account suspension or termination.

9. Data Storage, Backups & Availability

ValyDoc retains only the most current version of uploaded documents. When a document is replaced or updated, previous versions may be permanently deleted and are not archived. You are solely responsible for maintaining independent backups of all documents.

The Service is provided on an “as is” and “as available” basis. While we implement reasonable security measures, ValyDoc:

• Does not guarantee uninterrupted or error-free service
• May experience temporary outages or maintenance windows
• Is not responsible for data loss caused by events beyond our reasonable control (force majeure)

10. Limitation of Liability

To the maximum extent permitted by law, ValyDoc will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any business losses, lost revenue, compliance failures, or missed renewals arising out of or related to your use of the Service.

In no event shall ValyDoc’s total liability exceed the amount you paid to ValyDoc for the Service in the three (3) months immediately preceding the event giving rise to the claim.

11. Termination

We may suspend or terminate accounts that violate these Terms or pose a security risk.

You may cancel your subscription at any time via your billing dashboard. Upon cancellation or termination, access may end at the conclusion of the current billing period, and data may be deleted after a reasonable retention period, subject to applicable law and our operational requirements.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of [Insert State/Country], without regard to conflict of law principles.
